Enterprise value
Valuation. Anchored typically on the go-forward free cash flow profile of the business. The value driver tree below sets out the building blocks, drivers and levers underpinning that profile, alongside methodical analysis of the pivotal trading assumptions underscoring the financial projections, including sensitivity scenarios.
Normalised working capital level
Valuation. Determining the average NWC requirement of the business and the degree of over or under-investment relative to the NWC delivered at the exchange date. The average level may be set on a backward or forward-looking basis depending on the structural profile โ€” invoicing and billing terms โ€” following exchange or completion.
Net debt including debt-like items
Valuation. Comprises the narrow net debt definition โ€” unencumbered cash and cash equivalents net of interest-bearing liabilities โ€” expanded to consider potential cash-like and debt-like items crystallising into one-off cash flows following exchange or completion. Every balance sheet component is bucketed between fixed assets, NWC and debt-like items, considering the frequency of cash flows and relevance to underlying operations. That bucketing doubles as a completeness check, so nothing is missed or double-counted in pricing. Other analyses. Intra-year headroom assessment (cash and cash equivalents plus unutilised RCF or credit line), actual against target financial covenants, and the key financial terms โ€” coupon rate, payment frequency (equal-amortising or balloon) and maturity profile.
Other adjustments
Valuation. (i) Actual against budgeted capex to determine the capex backlog, adjusted for contingencies built into the budget or triangulated on the capex to depreciation ratio; (ii) permitted leakage; (iii) analysis of bank payments following exchange to identify and strip out non-operational cash outflows not reflected in the vendor's forecast cash flow model.
Equity value
Price paid. Equity value adjusted for cash and the equity ticker for the intervening period between exchange and completion, primarily under a locked box mechanism. The cash ticker is typically EBITDA generated in that period offset by capex; NWC cash absorption is generally not considered in a ticker calculation.
